Teacher Transition Terms of Use

Welcome to Teacher Transition! These Terms of Use (“Terms”) govern your access to and use of the Teacher Transition website (the “Site”), online courses, resources, materials, community forums (if applicable), the Teacher Transition Job Search Dashboard, and any related services (collectively, the “Services”) provided by Idealized Learning LLC, doing business as Teacher Transition (“Teacher Transition,” “we,” “us,” “our”).

By accessing or using any part of our Services, you signify your agreement to be bound by these Terms, our Privacy Policy, our Refund Policy, any applicable Supplemental Terms, and all applicable laws and regulations. You agree that you are responsible for compliance with any applicable local laws. If you do not agree to all the terms and conditions of this agreement, then you may not access the Site or use any Services.

1. Definitions

• “Services”: Refers to the Teacher Transition website, courses, memberships, downloadable materials, resources, community features, the Teacher Transition Job Search Dashboard, and any other services offered by us.
• “Content”: Refers to all text, graphics, images, video, audio, software, information, course materials, blog, podcast content, and other materials included in or made available through the Services.
• “User”: Refers to any individual accessing or using the Services.
• “Supplemental Terms”: Refers to additional terms that apply to a specific product or service, published separately and identified as such.

2. Supplemental Terms for Specific Services

Some of our Services have characteristics that these general Terms do not fully address. For those Services we publish Supplemental Terms, which apply in addition to these Terms.

Supplemental Terms currently apply to the Teacher Transition Job Search Dashboard. See the Job Search Dashboard Supplemental Terms.

Where Supplemental Terms conflict with these Terms, the Supplemental Terms control for that Service only. In all other respects these Terms continue to apply in full. Using a Service that has Supplemental Terms means you agree to those terms as well.

3. Eligibility and Account Responsibility

Eligibility: You must be at least 18 years old, and at least the age of legal majority in your jurisdiction if that age is higher, to use our Services. By agreeing to these Terms, you represent and warrant that you meet this requirement.

Account Creation: To access certain Services, you may need to register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

Account Security: You are responsible for safeguarding your account credentials, whatever form they take, and for any activities or actions under your account. Our courses and membership use a password. The Job Search Dashboard signs you in with a one-time link sent to your email address, and has no password. You agree not to disclose your credentials to any third party. Sharing of login credentials is strictly prohibited. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

4. License Grant and Use Restrictions

License: Subject to your compliance with these Terms, Teacher Transition grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services and to temporarily download one copy of any specifically designated downloadable Content solely for your personal, non-commercial, educational use. This is the grant of a license, not a transfer of ownership or title.

Restrictions: Under this license, you MAY NOT:

• Modify, copy, reproduce, or create derivative works based on the Content, except as explicitly permitted.
• Use the Content for any commercial purpose, or for any public display (commercial or non-commercial), without prior written consent from Teacher Transition.
• Attempt to decompile, disassemble, or reverse engineer any software or platform comprising the Services.
• Remove, obscure, or alter any copyright, trademark, or other proprietary notices affixed to or contained within the Content or Services.
• Transfer, sell, rent, lease, distribute, or sublicense the Content or your access to the Services to another person.
• “Mirror” the Content on any other server or website.
• Use the Services in any manner that violates applicable laws or regulations or infringes on the rights of others.
• Share your account login credentials with any other individual.

Termination of License: This license shall automatically terminate if you violate any of these restrictions. Teacher Transition also reserves the right to terminate this license and your access to the Services at any time, with or without notice, for breach of these Terms. For paid Services, we will not end your access before the end of a period you have already paid for, except where you have breached these Terms. Upon termination, you must immediately cease all use of the Services and destroy any downloaded or accessed Content in your possession, whether in electronic or printed format.

5. Intellectual Property Rights

All right, title, and interest in and to the Services and Content, including all associated intellectual property rights (such as copyrights, trademarks, patents, and trade secrets), are and will remain the exclusive property of Teacher Transition and its licensors. The Teacher Transition name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Teacher Transition or its affiliates or licensors. You must not use such marks without the prior written permission of Teacher Transition. All other names, logos, product and service names, designs, and slogans on the Site are the trademarks of their respective owners.

6. Payment, Fees, and Subscriptions

Fees: Certain Services, resources, or Content may require payment of fees. You agree to pay all applicable fees as described on the Site for the Services you select. All fees are in USD and are non-refundable except as explicitly stated in our Refund Policy.

Payment Information: You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Site.

Payment Processors: Payments are handled by our payment partners. We do not store your full payment card details.

Subscriptions: Subscriptions renew automatically at the interval and price shown at checkout, charged to your payment method on file, until you cancel. Job Search Dashboard subscriptions renew monthly. You may cancel at any time from the Student Portal, or by emailing [email protected] for assistance, and cancelling stops all future charges. We will send you a confirmation of your subscription terms and how to cancel when you purchase. If we change the price, we will give you at least 30 days’ notice before the new price applies. Subscription fees, including Job Search Dashboard subscription fees, are non-refundable.

Payment Plans (If Offered): If you enroll using a Teacher Transition in-house payment plan, you authorize us to charge the payment method on file for scheduled installment payments. You agree to maintain a valid payment method on file for the duration of the payment plan. Installment payments are earned when paid and are non-refundable, except as expressly provided in our Refund Policy or as required by applicable law. Additional terms regarding failed payments, access suspension, reinstatement, and certificate eligibility are set forth in the Refund Policy and incorporated herein by reference.

Taxes: You are responsible for paying all applicable taxes associated with your purchases.

7. Refund Policy

Our refund terms are set forth in our separate Refund Policy, which is incorporated into these Terms by reference. Unless stated otherwise at the time of purchase (including where an item is designated as final sale), eligible self-paced courses may qualify for a 7-day refund window subject to the conditions in the Refund Policy, including a $50 processing fee for approved refunds of full courses. Certain items are non-refundable as described in the Refund Policy, including, without limitation, mini-courses, memberships and subscriptions, Job Search Dashboard subscriptions, AI credits, and one-on-one services. We also offer in-house payment plans, which are subject to additional terms described in the Refund Policy, including card-on-file requirements and consequences for failed payments. Course transfers, if offered, are subject to the Refund Policy, including limits on transfers and the effect of a transfer on refund eligibility.

8. User Conduct

You agree not to use the Services or Resources to:

• Upload, post, email, transmit, or otherwise make available any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
• Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity.
• Engage in any activity that interferes with or disrupts the Services (or the servers and networks which are connected to the Services).
• Violate any applicable local, state, national, or international law.
• Collect or store personal information or data about other users without their express permission.
• Promote commercial activities or sales without our prior written consent.
• Scrape, crawl, spider, harvest, or bulk-download any part of the Services, or resell or redistribute data obtained from the Services.

We reserve the right to terminate your access for violating these conduct rules.

9. Disclaimers

“AS IS” BASIS: THE SERVICES AND ALL CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TEACHER TRANSITION EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

NO GUARANTEE OF ACCURACY OR RESULTS: TEACHER TRANSITION DOES NOT WARRANT THAT: (A) THE SERVICES OR CONTENT WILL MEET YOUR PERSONAL EXPECTATIONS OR REQUIREMENTS; (B) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES OR CONTENT WILL BE ACCURATE, RELIABLE, OR COMPLETE; OR (D) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICES WILL MEET YOUR EXPECTATIONS.

NO GUARANTEE OF EMPLOYMENT OR OUTCOME: TEACHER TRANSITION PROVIDES EDUCATIONAL AND INFORMATIONAL RESOURCES TO SUPPORT CAREER TRANSITIONS. HOWEVER, WE MAKE NO REPRESENTATIONS, WARRANTIES, OR GUARANTEES, EXPRESS OR IMPLIED, REGARDING YOUR ABILITY TO SECURE EMPLOYMENT, ACHIEVE ANY PARTICULAR CAREER OUTCOME, OR EARN ANY SPECIFIC INCOME LEVEL AS A RESULT OF USING OUR SERVICES OR COMPLETING COURSEWORK.

ARTIFICIAL INTELLIGENCE FEATURES: CERTAIN SERVICES INCLUDE AI-POWERED FEATURES. 10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TEACHER TRANSITION BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO TEACHER TRANSITION FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR $100 USD, WHICHEVER IS GREATER.

BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

11. Indemnification

You agree to defend, indemnify, and hold harmless Teacher Transition and its affiliates, officers, directors, employees, contractors, agents, and licensors from and against claims and expenses (including reasonable attorneys’ fees) arising out of your violation of these Terms or misuse of the Services.

12. Third-Party Links and Content

The Services contain links to third-party websites and display content collected from third-party sources. We provide these as a convenience and are not responsible for the content, products, or services on or available from those websites or resources. The inclusion of any link does not imply endorsement by Teacher Transition. You acknowledge sole responsibility for and assume all risk arising from your use of any third-party website or resource.

Some banners and placements on the Services are paid advertising, meaning the business featured pays us to appear there. These placements are marked as advertising. A placement is not an endorsement, and any purchase you make is between you and that business. Where we have any other material connection to a product we mention, we disclose it in line with US Federal Trade Commission guidelines.

13. Modifications to Terms of Use

Teacher Transition reserves the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to the new terms taking effect, by posting on the Site and by emailing active subscribers. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Services. We encourage you to periodically review the Terms to stay informed of our updates.

14. Governing Law and Dispute Resolution

Governing Law: Any claim relating to Teacher Transition’s Services shall be governed by and construed in accordance with the laws of the State of Idaho, USA, without regard to its conflict of law provisions.

Informal Resolution First: Before starting any formal proceeding, please contact us at [email protected] and describe your concern, and give us 30 days to resolve it. Most concerns are resolved quickly this way, and we will do the same before bringing a claim against you.

Formal Resolution: You agree that any legal suit, action, or proceeding arising out of, or related to, these Terms or the Services shall be instituted exclusively in the federal courts or state courts located in Ada County, Idaho, USA. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts. Either party may bring an individual claim in small claims court, and nothing in these Terms prevents you from reporting a concern to a government agency.

Your Local Consumer Rights: Nothing in these Terms limits any rights you have under the consumer protection laws of your province, territory, or state that cannot be waived by agreement, and nothing prevents you from bringing a claim in the courts of your home province or state where the law gives you that right.

Attorney’s Fees: In the event of any litigation or dispute arising from or related to this Agreement, the prevailing party shall be entitled to recover from the non-prevailing party all reasonable attorneys’ fees, costs, and expenses incurred in connection with such litigation or dispute, including any appeals.

15. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, Refund Policy, and any applicable Supplemental Terms, constitute the entire and exclusive understanding and agreement between Teacher Transition and you regarding the Services, and supersede and replace any and all prior oral or written understandings or agreements related to the Services.

Severability: If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

Waiver: The failure of Teacher Transition to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver must be in writing and signed by an authorized representative of Teacher Transition.

Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without Teacher Transition’s prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and void. Teacher Transition may freely assign or transfer these Terms without restriction.

Notices: Any notices or other communications provided by Teacher Transition under these Terms, including those regarding modifications to these Terms, will be given: (i) via email; or (ii) by posting to the Site. For notices made by email, the date of receipt will be deemed the date on which such notice is transmitted.
